MOUNTIN VIEW, Calif. (March 8, 2022) — Google LLC today announced it has signed a definitive agreement to acquire Mandiant, Inc., a leader in dynamic cyber defense and response, for $23 per share in a cash-for-cash transaction . valued at approximately $5.4 billion including Mandiant’s net cash. After the completion of the deal, Mandiant will join Google Cloud.
Today, organizations are facing cybersecurity challenges that are becoming more frequent, serious, and diverse, creating a global security imperative. To mitigate these risks, businesses must be able to quickly detect and respond to attackers; analyze and automate threat intelligence to scale threat detection across organizations; organize and automate remediation; check their protection against known threats; and visualize your IT environment to identify and model new threats. The cloud represents a new way to change the security paradigm, helping organizations address and defend against entire classes of cyberthreats and rapidly accelerating digital transformation.
The acquisition of Mandiant will complement Google Cloud’s existing security strengths. Google Cloud offers customers a robust set of services, including groundbreaking capabilities such as BeyondCorp Enterprise for Zero Trust and VirusTotal to detect malicious content and software vulnerabilities; Chronicle’s global security analytics and automation, combined with services such as the Security Command Center, helps organizations detect and defend against cyber threats; and the experience of the Google Cloud Cybersecurity Action Team. With the addition of Mandiant, Google Cloud will enhance these offerings to provide a comprehensive suite of security operations with even greater capabilities to support customers in their cloud and on-premises environments.

Combined with Google Cloud security offerings, this acquisition will help businesses around the world stay protected at every stage of the security lifecycle:
- Consulting Services: Mandiant’s proven global experience in delivering end-to-end incident response, strategic readiness and technical assurance helps clients mitigate threats and mitigate business risk before, during and after an incident.
- Threat detection and intelligence: Mandiant’s experience in detecting and responding to advanced attackers offers customers useful insights into current threats.
- Automation and response tools: Google Cloud Chronicle’s security tools, Siemplify and Mandiant Automated Defense solutions help customers analyze, prioritize and optimize threat response, and use the Mandiant experience as a virtual extension of their teams.
- Testing and validation: Mandiant Security Validation helps customers continually validate and measure the effectiveness of cybersecurity controls across cloud and on-premise environments and complements the Google Cloud Trust Center to help ensure robust risk management.
- Managed Protection: Mandiant’s managed detection and response service acts as a seamless extension of client security groups, providing continuous monitoring, event triage, and threat hunting that is independent of client endpoints and network tools.
